<br />1 manufacturer recommendations unless otherwise justified. All predictive maintenance
<br />2 testing called for in the O&M Manual shall also be provided.
<br />3 C. At least 45 days prior to the scheduled date of substantial completion of
<br />4 construction of the Project, GBRA shall submit five copies of a draft Operation and
<br />5 Maintenance Manual (the" O&M Manual ") for the Proj ect to the City for review. The City's
<br />6 comments shall be incorporated into the O&M Manual submitted to the TNRCC for
<br />7 approval. GBRA will secure TNRCC approval of the O&M Manual prior to the scheduled
<br />8 date of substantial completion of construction of the Project. GBRA will deliver seven
<br />9 copies of the final O&M Manual to the City and will update the copies ofthe O&M Manual
<br />10 as necessary during the term of this Contract.

<br />12 Section 10.02 - Project Maintenance. Except for capital expenditures (as defined in the
<br />13 Contract), GBRA shall provide all personnel, materials, parts, equipment, supplies and
<br />14 services necessary to maintain the Project including structures, process equipment,
<br />15 administration building, HV AC systems, electrical equipment, instrumentation and controls,
<br />16 SCADA software and hardware, piping and valves, roadways, walkways, landscaping, and
<br />17 other miscellaneous items as required to accomplish high efficiency operations, long-term
<br />18 reliability and preservation of the City's capital investment in the Project. Maintenance
<br />19 requirements include, but are not limited to, the following:
<br />20 1. Routine Maintenance - Maintenance and care of grounds and landscaping,
<br />21 buildings and support systems, roadways and walkways, including, but not limited
<br />22 to, repair, cleaning, painting and other activities to preserve the condition and
<br />23 appearance of the Project facilities. GBRA's costs for Routine Maintenance are
<br />24 included in the Cost Proposal and the resulting Service Fee.

<br />26 2. Preventive and Predictive Maintenance - Regularly scheduled and follow-up
<br />27 maintenance activities, as recommended by equipment manufacturers or in
<br />28 accordance with Prudent Industry Practices, including routine inspections, warranty
<br />29 maintenance activities, painting, cleaning and calibration. Predictive maintenance
<br />30 shall include as a minimum, lubricant testing, vibration analyses, motor winding and
<br />31 other electrical equipment testing, and thermographic testing of panels and motor
<br />32 control centers. GBRA's costs for Preventive and Predictive Maintenance are
<br />33 included in the Cost Proposal and the resulting Service Fee.

<br />35 3. Corrective Maintenance - GBRA shall be responsible for costs incurred, up to but
<br />36 not exceeding $15,000, and the City shall be responsible for costs exceeding $15,000,
<br />37 for replacement or renewal of a single piece of equipment or other capital item that
<br />38 has failed, or the failure of which is determined to be imminent, where the City
<br />39 determines in its sole discretion that the failure is not the fault of improper or
<br />40 insufficient maintenance by GBRA. This includes costs for equipment, parts,
<br />41 materials, and specialty contract services (i.e. highly specialized, technical services
<br />42 that cannot reasonably be performed by GBRA's on-site maintenance staff). Labor
