<br />1.1.3 The performance of all services by the Consultant in connection with this Agreement will <br />be by persons appropriately licensed or registered under State, local and Federal laws governing <br />their respective consulting disciplines. The Consultant represents that it engages in the business <br />of providing master planning services to municipalities, that it has a unique understanding of the <br />knowledge and experience required to accomplish urban planning projects, and that it is qualified <br />to provide master planning services to the City for this Project. In performing all services under <br />this Agreement, the Consultant will use that degree of care and skill ordinarily exercised for <br />similar projects by professional Consultants who possess special expertise in the types of <br />services included in this Agreement. <br /> <br />1.1.4 No work under this Agreement will be subcontracted by the Consultant without prior <br />written approval from the City. Any work or services subcontracted under this Agreement will <br />be specified by separate written Agreement between the Consultant and its subconsultants and <br />will be subject to each provision of this Agreement. <br /> <br />1.1.5 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by the Consultant and/or its subconsultants, contractors, <br />and subcontractors in connection with this Agreement will not diminish the Consultant's <br />responsibility for the materials. <br /> <br />1.1.6 Consultant will perform all of its services in coordination with the City. The Consultant <br />will advise the City of data and information the Consultant needs to perform its services, and the <br />Consultant will meet with City representatives at mutually convenient times to assemble this data <br />and information. <br /> <br />1.2 PHASE 1 - INITIATION <br /> <br />The Consultant will: <br /> <br />1.2.1 Visit the Project area and meet with the stakeholders identified by the City who are <br />involved in the planning process. In addition, the Consultant will tour the downtown existing <br />facilities, sites and the urban district. <br /> <br />1.2.2 Review data provided by the City, identify Project stakeholders and meet with <br />stakeholders to initiate the planning process in four separate community workshops to be <br />coordinated with the City and the Downtown Master Plan Task Force ("City Task Force"). <br /> <br />1.2.3 Conduct one kick-off session with City representatives and a separate kick-off session <br />with the City Task Force to determine the basic Project parameters and to develop and prioritize <br />a set of common goals and objectives consistent with the City's Strategic Plan. In addition, The <br />Consultant will determine the extent of involvement of stakeholder groups, refine the master <br />planning schedule, and identify a space in close proximity to the Project area that can be utilized <br />by the Consultant for planning work sessions and workshops, as requested and directed by the <br /> <br />Downtown Master Plan Contract <br /> <br />2 <br /> <br />I <br /> <br />I <br /> <br />I <br />
