1.1.3 The performance of all services by the Consultant in connection with this Agreement will be by persons appropriately licensed or registered under State, local and Federal laws governing their respective consulting disciplines. The Consultant represents that it engages in the business of providing master planning services to municipalities, that it has a unique understanding of the knowledge and experience required to accomplish urban planning projects, and that it is qualified to provide master planning services to the City for this Project. In performing all services under this Agreement, the Consultant will use that degree of care and skill ordinarily exercised for similar projects by professional Consultants who possess special expertise in the types of services included in this Agreement. 1.1.4 No work under this Agreement will be subcontracted by the Consultant without prior written approval from the City. Any work or services subcontracted under this Agreement will be specified by separate written Agreement between the Consultant and its subconsultants and will be subject to each provision of this Agreement. 1.1.5 Any provisions in this Agreement pertaining to the City's review, approval and/or acceptance of written materials prepared by the Consultant and/or its subconsultants, contractors, and subcontractors in connection with this Agreement will not diminish the Consultant's responsibility for the materials. 1.1.6 Consultant will perform all of its services in coordination with the City. The Consultant will advise the City of data and information the Consultant needs to perform its services, and the Consultant will meet with City representatives at mutually convenient times to assemble this data and information. 1.2 PHASE 1 - INITIATION The Consultant will: 1.2.1 Visit the Project area and meet with the stakeholders identified by the City who are involved in the planning process. In addition, the Consultant will tour the downtown existing facilities, sites and the urban district. 1.2.2 Review data provided by the City, identify Project stakeholders and meet with stakeholders to initiate the planning process in four separate community workshops to be coordinated with the City and the Downtown Master Plan Task Force ("City Task Force"). 1.2.3 Conduct one kick-off session with City representatives and a separate kick-off session with the City Task Force to determine the basic Project parameters and to develop and prioritize a set of common goals and objectives consistent with the City's Strategic Plan. In addition, The Consultant will determine the extent of involvement of stakeholder groups, refine the master planning schedule, and identify a space in close proximity to the Project area that can be utilized by the Consultant for planning work sessions and workshops, as requested and directed by the Downtown Master Plan Contract 2 I I I
