<br /> any termination of this Contract or use ofthe sites, in-at least as good a condition as found. <br /> 1.3.7 Guarantee delivery of services and include a back-up facility and/or disposal site <br /> to ensure the Sludge is taken off-site. All facilities must be licensed in accordance with <br /> prevailing Federal, State and Local laws and regulations. <br /> 1.3.8 Provide the required monitoring and record keeping for land-applied sludge in <br /> accordance with promulgated TNRCC regulations. Liquidated damages as described in <br /> subsection 1.4.26 will be required commensurate with the City's cost of alternative disposal <br /> if the Contractor does not perform fully under the terms of this Contract. <br /> 1.4 OPERATION OF SERVICES <br /> Quality <br /> <br /> The Contractor will: <br /> 1.4.1 Ensure that Contractor's employees will not spill or leave Sludge at the truck <br /> loading station and will wash down the truck loading area every time a load of Sludge is <br /> picked up before the truck leaves the premises. <br /> 1.4.2 Be responsible for damage to any property owned by the City or third parties <br /> caused by willful or negligent acts or by accidents involving the Contractor, its officers, <br /> agents, employees or subcontractors. <br /> Haul Routes <br /> 1.4.3 The Contractor will establish haul routes to the approved disposal sites in <br /> accordance with the requirements of all regulatory agencies. Routes through residential <br /> areas will not be acceptable unless absolutely necessary. The Contractor will utilize routes <br /> which have been approved by the City. Changes in routes will be subject to City approval <br /> prior to implementation. Upon approval of the proposed changes, the Contractor will <br /> promptly give written notice to the City of when the new route will be used. <br /> Time of Loading <br /> 1.4.4 The Contractor will perform loading operations between 8:00 am and 5:00 pm <br /> daily. <br /> Holidays <br /> 1.4.5 The Contractor may observe six (6) legal holidays in each calendar year (New <br /> Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and <br /> Christmas Day). If any holiday is to be observed, the Contractor must provide written <br /> notice at least 14 days prior to a holiday of its intent to observe that holiday to the City's <br /> 4 <br /> - <br />
