Plans and Specifications: Code Compliance: The Lessor shall have approval authority <br /> over any and all plans, specifications and/or designs for any structure or improvement to <br /> be placed on the Property. The Lessee shall cause any construction on the Property to be <br /> prosecuted with diligence and in accordance with all applicable construction codes, <br /> including those pertaining to accessibility for persons with disabilities. The Lessee shall <br /> cause all required building permits and inspections for the construction to be obtained. <br /> 12. Quiet Possession: The Lessor shall warrant and defend the Lessee in the enjoyment and <br /> peaceful possession of the Property. <br /> 13. Indemnity: The Lessee agrees to defend, indemnify and hold harmless the Lessor and its <br /> officers, agents and employees, from all damages, claims, losses, demands, suits, <br /> judgments and costs including reasonable attorney's fees and expenses arising out of the <br /> use of the Property by the Lessee, its officers, agents or employees or by invited members <br /> of the public <br /> 14. Liability Insurance: The Lessee agrees to maintain in force throughout the term of this <br /> Lease, public liability and property damage insurance with a company authorized to do <br /> business in Texas, with limits of at least $250,000 per person and $500,000 for any single <br /> occurrence for bodily injury or death and $100,000 for any single occurrence for injury to <br /> or destruction of property. The coverage procured by the Lessee shall name the Lessor as <br /> co-insured and shall contain the endorsement that such insurance may not be canceled or <br /> amended without 30 days written notice to the Lessor by the insurance company. A <br /> certificate for this coverage shall be delivered to the Lessor within 10 days of the <br /> execution of this Lease, and annually thereafter <br /> 15. Insurance Requirements for Construction: The Lessee warrants that any contractor hired <br /> by the Lessee to perform construction work on the Property shall carry worker's <br /> compensation insurance for all employees engaged in the work. The Lessee further <br /> warrants that any such contractor shall maintain and keep in force from the date <br /> construction begins until the date the work is fully completed, builders risk insurance <br /> with extended coverage in a sum not less than the full value of the work to be performed, <br /> and public liability insurance in at least the limits specified in paragraph 14 of this Lease, <br /> all with companies authorized to do business in Texas. <br /> 16. Assignment: The Lessee shall not sublease all or part of Property or assign this Lease or <br /> any interest in it without the express written approval of the Lessor, which shall not be <br /> unreasonably withheld. Any attempted assignment or subletting of this Lease or the <br /> Property without this written shall be of no force or effect, and shall confer no rights upon <br /> any assignee or sublessee. <br />
