<br />105 <br /> <br /> <br /> <br />LEASE OF AIRPORT PROPERTY/BUILDING <br /> <br />THE STATE OF TEXAS <br /> <br />COUNTY OF CALDWELL <br /> <br />This Lease Agreement ("Lease") is made and entered into by and between the City <br />.~ . of San Marcos, ( "Lessor") and North American Top Gun, Inc., ("Lessee"). <br />I The Lessor is the owner of the San Marcos Municipal Airport, situated in Caldwell <br />! County, Texas, "Airport," by virtue of deeds from the United States Government. <br />All covenants, terms and conditions of this Lease must be reviewed by the Federal <br />Aviation Administration before the effective date of the Lease. <br />In consideration of the obligation of Lessee to pay rent and in consideration of the <br />other terms, covenants and conditions, Lessor demises and leases to Lessee, and Lessee <br />takes from Lessor the real property, approximately 7,300 square feet, together with all <br />improvements, located on the San Marcos Municipal Airport, known as Building 6-367, or <br />the Old Fire Station, as shown on the attached Exhibit "A" (called the "Leased Premises"), <br />upon the following terms and conditions: <br /> <br />ARTICLE I <br />Acceptance of Existing Premises . <br /> <br />1.1 Lessee acknowledges that it has, prior to the execution of this Lease, inspected the <br />Leased Premises, and that Lessee is accepting the Leased Premises in its "as is" <br />condition. By occupying the Leased Premises, Lessee shall be deemed to have <br />accepted the same and to have knowledge that the same comply fully with Lessor's <br />covenants. <br /> <br />~ 1.2. Lessee acknowledges that it has read and will comply with the Minimum Standards <br />t for Fixed Base Operators and Airport Tenants ("Minimum Standards") as published <br />( by Lessor which applies to Lessee's business endeavors. <br /> <br />ARTICLE II <br />Rentrr erm <br /> <br />2.1 The Lease will commence on February 1, 1997 and end on March 31, 1997. Rental <br />shall accrue from the commencement date of this Lease as defined above, and <br />shall be payable at the place designated for the delivery of notices to Lessor at the <br />time of payment. <br /> <br />2.2 Lessee shall pay to Lessor rental in amount of $ 250.00 per month. The first <br />monthly installment shall be due and payable on or before the commencement date, <br />and an additional monthly installment in like amount shall be due and payable on <br />or before the first day of the succeeding calendar month during the term of this <br />Lease. Notwithstanding the foregoing, Lessee shall pay to Lessor <br />contemporaneously with the execution of this Lease the sum of $ 250.00 as a <br />security deposit, to be held by Lessor without interest and to bG applied to the first <br />and last accruing installments of rental. <br /> <br /> 2.3 As further consideration and rental for the Leased Premises described in Exhibit <br />f "A," Lessee agrees to pay to Lessor a monthly fee equal to one percent (1 %) of the <br />-- gross income from any and all commercial enterprises of Lessee at the Airport, <br />excluding sales or services to federal, state or local governments or other tax <br />exempt organizations or agencies. Payment is to be made within ten (10) days of <br />the least day of the previous month and shall be based on Lessor's income during <br />the previous month. <br /> <br /> <br />2.4 As further consideration and rental for the Leased Premises, Lessee agrees to pay <br />
