<br />130F <br /> <br />by ordinance of the City of San Marcos, Texas, incurred or occasioned <br /> <br /> <br />by Lessee's installation, use, operation, maintenance and/or removal of <br /> <br />Lessee's equipment at, on, or frorn the leased premises. <br /> <br /> <br />13. Assignments: <br /> <br />Lessee shall have the right to assign this Agreement with Lessor's <br /> <br /> <br />consent, which shall not be reasonably withheld, to any corporation, or <br /> <br /> <br />to any person or entity which acquires substantially all of Lessee's <br /> <br /> <br />assets, provided that such assignee assurnes in full all of Lessee's <br /> <br /> <br />obligations under the Agreernent. <br /> <br />14. Utilities: <br /> <br /> <br />Lessee shall have all utility services used by it metered ,in its own <br /> <br /> <br />name and shall promptly pay all bills therefor. <br /> <br />15. Lessor's Access to Leased Prernises: <br /> <br />Lessor shall at all times have access to the leased premises. <br /> <br /> <br />16. Indemnification: <br /> <br /> <br />Lessee hereby agrees to indemnify, defend and hold harmless the Lessor <br /> <br /> <br />and its officers, agents and employees frorn and against all losses, <br /> <br /> <br />claims, and causes of action for personal injury or property damage, <br /> <br /> <br />including the amounts of judgments, interest, court costs, legal fees <br /> <br /> <br />and all other expenses, arising out of or in connection with this <br /> <br /> <br />Agreement. It is the expressed intention of Lessor and Lessee that <br /> <br /> <br />this indemnity by the Less extends to and protects the Lessor from the <br /> <br /> <br />consequences of the Lessor's own negligence, whether that negligence is <br /> <br />-6- <br />
