<br />l'1bf <br /> <br />shall perform the review in an expeditious manner <br />in order that the Project shall not be delayed. <br /> <br />(b) The City hereby agrees that upon the completion of <br />the construction, the City will accept ownership of <br />all of the improvements constructed as part of the <br />work covered by the Project Documents for operation <br />and maintenance upon the City's issuance of a <br />certificate of acceptance of the said improvements. <br />(c) The City agrees that it will provide the use of any <br />and all easements and rights-of-way owned by the <br />City necessary or required for the construction of <br />the work covered by the Project Documents and for <br />the operation, use and maintenance of the Project, <br />and that the City will cooperate with SMCISD in <br />performing the services as proj ect Manager that <br />SMCISD has agreed to perform hereunder. <br /> <br />(d) The City agrees that upon the _completion of the <br />construction of the work covered by the proj ect <br />Documents, the City will make water and wastewater <br />service available to each party to this Agreement <br />and to their respective properties provided that <br />the applicable party follows the appropriate <br />procedure and pays all tap fees and impact fees <br />necessary to receive such service. <br /> <br />(e) The City agrees to waive any and all permitting and <br />inspection fees that the City would otherwise <br />charge relating to the construction of the Project. <br /> <br />(f) The City warrants that it has the full power and <br />authority to enter into this Agreement and fulfill <br />its obligations hereunder, and that it has funds <br />readily available to meet its obligations under <br />this Agreement. <br /> <br />(g) The City represents,. warrants and agrees that it <br />will promptly pay to the SMCISD the City's share of <br />all costs and expenses to be paid under the terms <br />of this Agreement. <br /> <br />(h) The City acknowledges and agrees that the SMCISD <br />shall be entitled to utilize the $750,000.00 <br />escrowed with the City in order to pay for SMCISD'S <br />share of the costs associated with the work covered <br />by the Project Documents and that the City will <br />approve the release of said funds to the SMCISD <br />within three (3) business days after the City <br />receives a request from the SMCISD for the release <br />of said funds. <br /> <br />Tri-~arty Agreement for <br />Utility and Road Improvements <br /> <br />6 <br />
