<br /> I / (p~ <br /> this Request for Proposals be binding upon the City unless incorporated as a change <br /> in accordance with the applicable change provision. <br /> 3.08 Patents, Indemnification, and Infringement. <br /> .-. <br /> The vendor warrants that it possesses complete and valid title to the application <br /> software, that it has the right to sell the software to the City, and that the vendor shall <br /> protect, defend and indemnify the City from any claim that use of the system <br /> software infringes on any copyright or patent or any charge of unfair competition. <br /> 3.09 Protests. <br /> Any protests regarding award of a contract must be submitted in writing to the <br /> Purchasing Manager not later than five (5) calendar days before award. Such protests <br /> shall be ruled on by the City Council. A written reply to the protest shall be <br /> forwarded to the vendor by the Purchasing Manager. <br /> 3.10 Experience. <br /> Vendor certifies by submission of its proposal that it has a minimum of five (5) years <br /> experience in the field of automation systems for municipal court functions. <br /> 3.11 Reference. ~ <br /> Vendor shall supply, with the proposal, the name and addresses of at least three (3) <br /> Texas municipalities to which it has provided this software in the past or with which <br /> it is under contract for such software presently and the names of representatives who <br /> may be contacted for reference and perfonnance history. <br /> 3.12 Rejection of Hardware Proposal Portion of Proposal. <br /> The City reserves the right to reject the hardware portions of the proposal and based <br /> upon the configuration cited by the Vendor, 'purchase the hardware through a separate <br /> vendor. <br /> In the event the City purchases only the software from the vendor, the examinations <br /> cited in Section 8.03 Test 2, Section 8.04 Test 3, and 8.05 Test 4 will remain in <br /> effect under this proposal and will be incorporated into the contract. <br /> RFP 94-001 <br /> Page II <br />
