ARTICLE III MAINTENANCE AND REPAIR OF PREMISES 3.1 The CITY shall keep the leased premises (limited to the foundation, exterior walls and windows, air conditioning system, electrical system, plumbing system, ceiling, roof, and parking spaces made the subject of this Lease) in good, clean condition and shall make all needed repairs. The CITY shall comply at its sole cost and expense with all governmental laws, ordinances and regulations applicable to the premises, except that the CITY shall not be obligated to make any structural changes or alterations to the premises unless made necessary by the act or omission of the CITY. HCAD shall maintain the inside of the leased premises and all its furnishings and fixtures in good condition and shall make all needed repairs to them. At the expiration of this Lease, HCAD shall surrender the premises in good condition, reasonable wear and tear, loss by fire, or other unavoidable casualty alone excepted. ARTICLE IV ALTERATIONS AND FIXTURES 4.l HCAD shall not make any alterations, additions, or improvements to the leased premises without the prior written consent of the CITY, except for the installation of unattached movable trade fixtures. All alterations, improvements and fixtures (other than unattached, movable trade fixtures) which may be made or installed by either party upon the premises shall become the property of the CITY at the termination of this Lease, and shall remain upon and be surrendered with the premises, unless the CITY requests their removal, in which event HCAD shall remove them and restore the premises to its original condition at HCAD's expense. Any linoleum, carpeting, or other floor covering which may be affixed to the floor of the premises, and any paneling or other wall covering shall also become the property of the CITY upon termination of this Lease, all without credit or compensation to HCAD. -3-
