<br /> any interest in it or sublet the premises or any part of them <br /> without prior written consent of the CITY. Consent shall not be <br /> unreasonably withheld and the reason for not granting consent <br /> shall be made in writing to the CA. Consent by the CITY to one or <br /> more assignments or sublettings shall not operate as a waiver of <br /> the CITY's rights as to any subsequent assignments and <br /> sublettings. Notwithstanding any assignment or subletting, CA <br /> shall at all times remain fully responsible and liable for the <br /> payment of the rent and for compliance with all of its other <br /> obligations under this Lease. <br /> 11.2 In the event of the transfer and assignment by the CITY of <br /> its interest in this Lease and in the leased premises to a person, <br /> firm or corporation which assumes the CITY's obligations under <br /> this Lease, the CITY shall be released from any further <br /> obligations and CA agrees to look solely to the successor in <br /> interest of the CITY to enforce its rights and interests under <br /> this Lease or applicable law. <br /> ARTICLE 12 <br /> EVENTS OF DEFAULT AND REMEDIES <br /> 12.1 The following events shall be deemed to be events of default <br /> by CA under this Lease: <br /> ( 1) CA fails to comply with any term, provision, or covenant <br /> of this Lease, other than the payment of rent, and shall not cure <br /> such failure within thirty (30) days after receipt of a written <br /> notice from the CITY. <br /> (2) CA deserts or vacates any substantial portion of the <br /> premises. <br /> (3) In the event any structure or improvement on the leased <br /> premises is deemed by the CITY to be structurally unsound, the <br /> CITY shall notify CA of this fact, and CA shall correct the <br /> condition within ninety (90) days of receipt of the notice. If CA <br /> fails to do so, the CITY may terminate and end this Lease as of <br /> ninety (90) days from the date of CA's receipt of the notice. <br /> 12.2 Upon the occurrence of any event of default, the CITY shall <br /> have the option to pursue any remedy or remedies permitted by law <br /> -7- <br />
