<br />A. <br /> <br />00,'7 <br />() ": ': <br /> <br />or: <br />U' <br /> <br />-11- <br /> <br />(2) <br /> <br />The <br /> <br />City, <br /> <br />construction <br /> <br />of <br /> <br />wastewater <br /> <br />upon <br /> <br />system <br /> <br />a <br /> <br />serving VF, and upon the City's assumption of ownership, <br /> <br />if any, of the water system serving VF, agrees to use <br /> <br />its best efforts to provide VF the lowest competitive <br /> <br />water and wastewater rates in this geographical area, <br /> <br />which includes the area identified as the Austin-San <br /> <br />Antonio, IH-35 Corridor. <br /> <br />(3 ) <br /> <br />The <br /> <br />City will, <br /> <br />upon execution of <br /> <br />this Agreement and <br /> <br />request by VF, provide building permits to VF for the <br /> <br />construction of the improvements listed in Section II <br /> <br />above. <br /> <br />(4 ) <br /> <br />The City agrees to consider any other reasonable request <br /> <br />made <br /> <br />by <br /> <br />in <br /> <br />order <br /> <br />VF <br /> <br />assist <br /> <br />to <br /> <br />in <br /> <br />locating <br /> <br />VF <br /> <br />its <br /> <br />operations in San Marcos. <br /> <br />VII. <br /> <br />EFFECT OF SALE, ASSIGNMENT OR LEASE OF PROPERTY <br /> <br />The assignment of this Agreement to a party providing project <br /> <br />financing <br /> <br />for <br /> <br />VF <br /> <br />to <br /> <br />the <br /> <br />construct <br /> <br />improvements <br /> <br />herein <br /> <br />contemplated is hereby approved. <br /> <br />Any other assigment of this <br /> <br />Agreement to a new owner or <br /> <br />lessee of the Property will <br /> <br />require the written consent of the City Council, which shall <br /> <br />not be unreasonably withheld or delayed. <br /> <br />Review by the City <br /> <br />Council of a proposed assignment <br /> <br />shall be limited to the <br /> <br />financial responsibility of the proposed assignee. <br /> <br />B. <br /> <br />assignment <br /> <br />shall <br /> <br />Any <br /> <br />shall <br /> <br />provide <br /> <br />that <br /> <br />the <br /> <br />assignee <br /> <br />irrevocably and unconditionally assume all the duties <br /> <br />and <br /> <br />obligations <br /> <br />of <br /> <br />the <br /> <br />assignor <br /> <br />the <br /> <br />same <br /> <br />terms <br /> <br />and <br /> <br />upon <br /> <br />conditions as set out in this Agreement. <br /> <br />Any assignment of <br />
