<br />0 <br />(-- <br />\,1 <br /> <br />7 <br /> <br />Ç¡ F"'d) <br />O. <br /> <br />-12- <br /> <br />this Agreement shall be to an entity that contemplates the <br /> <br />same improvements to the Property, except to the extent such <br /> <br />improvements <br /> <br />have been completed. <br /> <br />No assignment <br /> <br />shall be <br /> <br />approved if the assignor or the assignee are indebted to the <br /> <br />City for ad valorem taxes or other obligations. <br /> <br />VIII. <br /> <br />INDEMNITY <br /> <br />It <br /> <br />is <br /> <br />understood and <br /> <br />agreed between <br /> <br />the parties <br /> <br />that VF, <br /> <br />in <br /> <br />assuming <br /> <br />and <br /> <br />performing <br /> <br />its <br /> <br />obligations <br /> <br />hereunder, <br /> <br />is <br /> <br />acting <br /> <br />independently, and the City assumes no responsibilities or liabilities <br /> <br />in connection therewith to third parties and VF agrees to indemnify and <br /> <br />hold the City harmless therefrom. <br /> <br />It is further understood and agreed <br /> <br />among <br /> <br />the <br /> <br />parties <br /> <br />that <br /> <br />the <br /> <br />City, <br /> <br />in <br /> <br />assuming <br /> <br />and <br /> <br />performing <br /> <br />its <br /> <br />obligations <br /> <br />hereunder, <br /> <br />is <br /> <br />acting <br /> <br />independently, <br /> <br />and <br /> <br />VF <br /> <br />assumes <br /> <br />no <br /> <br />responsibilities <br /> <br />or <br /> <br />liabilities <br /> <br />in <br /> <br />connection <br /> <br />therewith <br /> <br />to <br /> <br />third <br /> <br />parties <br /> <br />and <br /> <br />the <br /> <br />City <br /> <br />agrees <br /> <br />to <br /> <br />indemnify <br /> <br />and <br /> <br />hold <br /> <br />VF <br /> <br />harmless <br /> <br />therefrom. <br /> <br />IX. <br /> <br />TERMINATION OF AGREEMENT <br /> <br />Unless <br /> <br />sooner terminated in accordance with the terms of this <br /> <br />Agreement, <br /> <br />the obligations of VF and the City under this Agreement <br /> <br />shall <br /> <br />terminate on December <br /> <br />31, <br /> <br />1995, <br /> <br />provided that <br /> <br />the <br /> <br />following <br /> <br />rights and obligations shall survive in the manner and to the extent <br /> <br />provided: <br /> <br />( 1) <br /> <br />VF shall remain obligated to furnish to the City certified <br /> <br />records for the calendar year 1995 in accordance with Section <br /> <br />IV <br /> <br />and <br /> <br />the <br /> <br />City <br /> <br />shall <br /> <br />have <br /> <br />the <br /> <br />right <br /> <br />to <br /> <br />evaluate <br /> <br />such <br /> <br />certified records, and, on or before MaTch 1, 1996, to give <br />
