<br /> -3- <br /> electricity shall be amended to reflect an equitable <br /> adjustment of such charge. If the commencement date of the <br /> term of this lease shall be other than the first day of the <br /> calendar month, the cost of utilities for such partial month <br /> shall be calculated and prorated on the basis of a 30-day <br /> calendar month. <br />5. That LESSEE shall pay for any and all changes in interior <br /> decoration such as draperies, painting and carpeting. <br />6. That LESSEE shall not (except as hereinafter stipulated) <br /> assign this lease agreement and/or sublet the leased <br /> preml se s, or any part thereof, without in each instance <br /> obtaining the written permission of LESSOR; however, <br /> LESSOR's permission shall not be unreasonably withheld. <br /> LESSEE may, without LESSOR'S permission, assign this lease <br /> and/or sublet the leased premises, or any part thereof, to <br /> an affiliated, subsidiary, or reorganized corporation of <br /> LESSEE, for the purpose of continued operation <br /> hereunder of the business conducted on said leased <br /> p remi se s in substantially the same manner as before. <br /> No assignment or subletting shall relieve LESSEE of the <br /> obligations imposed upon it by the terms of this lease. <br />7. That if LESSEE remains in possession of the leased <br /> premises after the expiration of this lease or any renewal <br /> or extension thereof, and without the execution of a <br /> of a new lease, it shall be deemed to be occupying the <br /> leased premises as a tenant from month-to-month, <br /> subject to all the conditions, provisions, and <br /> obligations of this lease at a rental equivalent to the <br /> last monthly rental payment made by LESSEE prior to the <br /> expiration of this lease, all other terms and <br /> conditions of this lease remaining the same. <br />8. That LESSEE shall carry liability insurance in connection to <br /> its operations conducted on the leased premises with minimum <br /> coverage limits of $250,000.00 per occurrence. <br />9. That LESSEE will comply with such lawful requirements of <br /> the State, Municipal, or other Public Authorities as <br /> related to its use of the leased premises. <br />10. That upon the termination of this contract, LESSEE will <br /> surrender the leased premises in as good a condition and <br /> repair as the same was at the beginning of the lease, normal <br /> wear and tear and/or damage from the elements and/or causes <br /> beyond LESSEE's control excepted. The LESSEE shall have <br /> the right to remove any and all furniture, fixtures, and <br /> equipment it may have installed on or in the leased <br /> premises, providing the LESSEE shall restore any structural <br /> damage to the building as the result of such removal, <br /> usual wear and tear excepted. <br />11. That LESSEE agrees to protect and save the LESSOR harmless <br /> from any and all claims of others for injuries to <br /> persons or property arising out of LESSEE'S negligent <br /> conduct of its business operations on the leased premises. <br />12. That LESSEE covenants that employees, invitees, and program <br /> participants will park in the spaces provided and not in <br /> spaces marked for other tenants, employees, and <br /> customers of LANDMARK SQUARE. <br /> V.
