<br /> -4- <br />1. That LESSOR shall provide LESSEE four (4) off-street parking <br /> spaces on the parking lot of the leased premises. <br />2. That LESSOR has good title to said leased premises, and the <br /> real property upon which they are located, and that LESSEE, <br /> upon paying the rentals herein provided for and observing, <br /> performing and keeping all and singular the covenants and <br /> agreements herein specified to be kept and performed by <br /> LESSEE shall, and may lawfully, peacefully, quietly and <br /> exclusively have, hold, use, occupy, possess and enjoy the <br /> premises hereby leased for and during the term hereof, <br /> without any hindrance, eviction, molestation, or <br /> interruption of or by the LESSOR, or other person or <br /> persons. <br />3. That LESSOR shall, at LESSORIS expense, keep said leased <br /> premises and appurtenances, including but not limited to, <br /> all walls, doors, roof, foundation, plate glass, downspouts, <br /> sewer service, water service, electrical service, heating <br /> and air conditioning and ventilation systems and equipment, <br /> plumbing, parking and service areas in reasonably safe <br /> condition and in good repair and proper working order <br /> during the entire term of this lease and shall make all <br /> necessary repairs to the leased premises not made necessary <br /> by negligent acts of LESSEE. LESSOR shall ensure that the <br /> electrical installation and wiring meet applicable state and <br /> local laws, ordinances, regulations and standards and that <br /> electrical outlets are properly spaced, in accordance with <br /> said standards, to afford maximum use of the office <br /> space. <br />4. That LESSOR agrees to hold harmless and indemnify LESSEE <br /> from any and all claims of others for injuries to <br /> persons or property arising out of defects in or dangerous <br /> conditions of the leased premises (provided, however, <br /> that if LESSEE has knowledge of a dangerous condition or a <br /> defect which LESSOR could not otherwise know about, <br /> LESSEE must notify LESSOR of such dangerous condition <br /> or defect as soon as possible after learning of such <br /> condition or defect. <br />5. That if any public authority condemns the leased premises or <br /> any part thereof as being unsafe, or not in conformity with <br /> applicable laws and regulations, the LESSOR, at its own cost <br /> and expense, will promptly make such changes, alterations or <br /> repairs, as may be necessary to comply with such laws and <br /> regulations, or with the requirements of the public <br /> authority. If, during the time such changes, alterations or <br /> repairs are being performed, the leased premises are <br /> rendered unsuitable for occupancy and use by the LESSEE, <br /> the rent shall abate, and if only a portion of the <br /> leased premises is rendered unsuitable for such occupancy <br /> and use, then the rent shall abate proportionately. <br /> Provided, however, in the event the leased premises or any <br /> part thereof are condemned as being unsafe or not in <br /> conformity with the applicable laws and regulations due to <br /> the defective condition or use of supplies, materials, <br /> and/or equipment owned and used by LESSEE, then, and in <br /> that event, LESSEE, at its own cost and expense, agrees to <br /> make such changes, alterations and repairs in the building <br /> and equipment, or the use of the same, as may be necessary <br /> to comply with such laws and regulations, or with the <br /> requirements of the public authority. <br />6. That LESSOR shall provide LESSEE, its employees, invitees, <br /> and program participants, ingress and egress to the parking <br /> area in front and in rear of the building and to the leased <br /> premises. <br /> VI. DEFAULT <br />A. If any default of LESSOR regarding LESSOR's obligation to make <br /> roof repairs under Article V hereunder shall continue <br /> uncorrected for ten (10) days after written notice thereof <br /> from LESSEE, or <br />
